These Terms and Conditions ("Terms") constitute a legally binding agreement between Calonex LLC, a New York limited liability company ("Calonex," "Company," "we," "us," or "our"), and any individual or legal entity ("User," "you," or "your") who accesses, registers for, or uses the Calonex website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as any policies incorporated by reference.
Calonex operates a software-as-a-service technology platform intended to facilitate rental-related administrative and transactional workflows between independent third parties. The Platform enables Users to publish property listings, manage rental information, communicate electronically, execute digital agreements, and initiate payments. Calonex acts solely as a technology provider and does not participate in, supervise, or control any real estate transaction conducted through the Platform.
Calonex does not own, lease, operate, manage, inspect, market, or broker real estate. Calonex is not a landlord, tenant, property manager, real estate broker, real estate agent, escrow service, financial institution, or fiduciary. All rental arrangements, leases, financial obligations, and legal relationships are formed exclusively between Users without Calonex's involvement.
Users may register and participate in the Platform in various capacities, including as landlords, management companies, property managers acting on behalf of management companies, brokers, agents, or tenants. Each User represents and warrants that they possess all necessary authority, permissions, and legal capacity to act in the role they select and that their use of the Platform does not violate any applicable laws, regulations, licensing requirements, or contractual obligations.
Calonex does not independently verify ownership of properties, authority to act on behalf of another party, employment status, professional licensing, or regulatory compliance of any User.
In order to access certain features of the Platform, Users must create an account and provide accurate, complete, and current information. Users must be at least eighteen (18) years of age. Users are solely responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their accounts. Calonex shall not be liable for any loss or damage arising from unauthorized account access resulting from a User's failure to safeguard credentials.
Calonex reserves the right, in its sole discretion, to suspend or terminate accounts that contain false information, are used in violation of these Terms, or present security, legal, or operational risks.
Certain features of the Platform require payment of subscription fees, including features related to property publication limits, portfolio management, and administrative tools. Subscription fees are billed in advance and may renew automatically unless cancelled prior to the renewal date. Except where required by applicable law, all fees are non-refundable.
Calonex reserves the right to modify subscription plans, pricing, and features upon reasonable notice. Continued use of paid services following such modifications constitutes acceptance of the revised terms.
The Platform facilitates payment initiation for application fees, security deposits, rent, and subscription fees through third-party payment service providers. Calonex does not store payment credentials, act as a payment processor, or hold funds in escrow unless expressly stated otherwise.
Calonex is not responsible for failed transactions, delayed processing, chargebacks, refunds, overdraft fees, or disputes between Users. All financial disputes must be resolved directly between the involved parties or the applicable payment provider.
Management Companies may authorize Property Managers to act on their behalf within the Platform. Property Managers act solely as representatives of the Management Company and not as representatives of Calonex. All actions taken by Property Managers on the Platform are deemed to be actions of the Management Company.
Calonex does not verify authorization, employment status, or licensing of Property Managers and bears no responsibility for disputes, unauthorized actions, or contractual disagreements among Management Companies, Property Managers, landlords, tenants, brokers, or agents.
Brokers may invite landlords or management companies to the Platform and establish commission arrangements with agents or other parties. Agents operate under brokers pursuant to private agreements. Calonex is not a party to commission arrangements and does not guarantee payment, enforcement, or accuracy of commission calculations.
Any dispute relating to commissions or referral fees is strictly between the involved Users.
Tenants are solely responsible for the accuracy of information provided in rental applications, for reviewing and understanding lease terms prior to execution, and for timely payment of all fees, deposits, and rent. Calonex does not perform background checks, credit checks, tenant screening, or employment verification.
All lease obligations arise directly between tenants and landlords or their authorized representatives.
Users may upload property listings, images, documents, and communications to the Platform. By submitting content, Users represent and warrant that they possess all necessary rights to publish such content and that the content is accurate, lawful, and non-infringing.
Calonex does not verify listing accuracy and reserves the right to remove content that violates these Terms or applicable law.
Nothing in these Terms creates or shall be deemed to create any partnership, joint venture, agency, employment, fiduciary, or professional advisory relationship between Calonex and any User. Calonex does not provide legal, financial, tax, or real estate advice.
The Platform may integrate with or rely upon third-party services, tools, and platforms, including but not limited to payment processors, electronic signature providers, cloud infrastructure providers, analytics services, and social authentication providers such as Google and Facebook (collectively, "Third-Party Services"). These services may be used, among other purposes, to enable account registration, login authentication, identity verification, payments, analytics, and communications.
By choosing to sign up for or access the Platform using a third-party social login or authentication service, you expressly authorize Calonex to receive certain information from such third party, including but not limited to your name, email address, profile identifier, and any other information made available in accordance with the third party's authorization framework and your privacy settings with that provider. Calonex's use of such information is governed by its Privacy Policy.
Calonex does not control, endorse, or assume responsibility for the availability, accuracy, security, data practices, or content of any Third-Party Services. The use of third-party platforms, including Google and Facebook, is subject to the respective terms, conditions, and privacy policies of those providers. Calonex shall not be liable for any interruption, error, data loss, unauthorized access, or other issues arising from the use or unavailability of Third-Party Services, including social login mechanisms.
By choosing to sign in using Facebook or other social login providers, you explicitly consent to Calonex accessing and using your basic profile information (such as name, email address, and profile identifier) solely for authentication, account creation, and account management purposes, in accordance with our Privacy Policy. You may revoke this access at any time through your account settings or the third-party provider's platform.
All Platform software, design, trademarks, logos, and proprietary materials are owned exclusively by Calonex. Users are granted a limited, revocable, non-exclusive license to use the Platform in accordance with these Terms. No ownership rights are transferred.
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Calonex disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
To the fullest extent permitted by law, Calonex shall not be liable for any indirect, incidental, consequential, or punitive damages. Calonex's total liability arising from or relating to the Platform shall not exceed the fees paid by the User to Calonex during the twelve (12) months preceding the claim.
Users agree to indemnify, defend, and hold harmless Calonex LLC, its officers, directors, employees, and affiliates from any claims, liabilities, damages, or expenses arising from their use of the Platform, violation of these Terms, or disputes with other Users.
Calonex may suspend or terminate access to the Platform at its discretion for violations of these Terms, misuse, or legal requirements. Users may terminate their accounts at any time.
Use of the Platform is subject to Calonex's Privacy Policy, which governs the collection, use, and protection of personal information.
Users may request deletion of their personal data and account information in accordance with the data deletion procedures described in our Privacy Policy and Data Deletion Instructions page.
Calonex may revise these Terms at any time. Continued use of the Platform after publication of changes constitutes acceptance.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. All disputes shall be subject to the exclusive jurisdiction of state and federal courts located in New York, USA.
