These Terms and Conditions ("Terms") constitute a legally binding agreement between Calonex LLC, a New York limited liability company ("Calonex," "Company," "we," "us," or "our"), and any individual or legal entity ("User," "you," or "your") who accesses, registers for, or uses the Calonex website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as well as any additional terms, conditions, policies, and guidelines shared by us through the Platform or via direct communication.
To use the Platform, you must be at least 18 years of age and possess the legal authority to enter into a binding contract. You agree to provide accurate, current, and complete information during the registration process and to keep your account details updated at all times. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
The Platform is designed to facilitate property rental management, including services for Tenants, Landlords, Brokers, and Agents. You agree to use the Platform only for lawful purposes and in accordance with these Terms. Prohibited activities include, but are not limited to: (a) violating any applicable federal, state, or local laws; (b) impersonating any person or entity; (c) interfering with or disrupting the functionality of the Platform; (d) uploading or transmitting malicious code, viruses, or harmful components; and (e) engaging in any activity that could harm or damage the reputation of Calonex.
Certain features of the Platform may be subject to fees as specified in our pricing plans. By subscribing to or using these features, you agree to pay all applicable fees and taxes. Fees are generally non-refundable unless otherwise stated. We reserve the right to change our pricing structure and introduce new fees upon providing reasonable notice to you through the Platform or via email.
All content, including but not limited to text, graphics, logos, images, software, and the design and arrangement thereof, is the exclusive property of Calonex LLC or its licensors and is protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your personal or internal business purposes. You agree not to copy, modify, distribute, or create derivative works from any content on the Platform without our prior written consent.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CALONEX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALONEX LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE PLATFORM.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of such courts.
